Reporting to: Associate General Counsel?Director, EHS & Real Estate/Land Use

Seeking attorney with deep expertise in real estate and land use matters. The successful candidate will be part of a small team of attorneys, and must be able to work independently while closely coordinating with legal colleagues who specialize in environmental issues. The candidate must be able to advise and counsel a diverse range of internal clients and senior business leaders on all aspects of real estate transactions and land use issues. The candidate also must be able to direct and manage outside counsel retained to support the company?s real estate and land use needs.

Job Description:

Successful candidate will be responsible for providing legal advice to Site Services organization (comprising real estate, facilities, planning, and security), government affairs, manufacturing operations, engineering, research and other site or facility leaders. Responsibilities include:

* Advising and representing the company on complex real estate transactions and land use issues, including those involving planning (notably the Master Plan for our main campus in South San Francisco), zoning and redevelopment law, finance and development law, and other laws and regulations affecting the use and development of real property;
* Providing strategic advice on all aspects of real estate and land use planning;
* Counseling on project-specific land use siting and permitting issues;
* Drafting or managing the preparation of a wide range of real property-related documents and agreements, including purchase and sale agreements, leases and sub-leases and amendments thereto, liens, environmental impact statements, termination notices, etc.;
* Coordinating real estate and land use due diligence activities and providing legal advice on site acquisition and development issues, divestitures, leases, lease-backs, and all other real property-related matters;
* Leading and negotiating all types of real property transactions and, where appropriate, managing outside counsel on such transactions;
* Partnering with environmental law colleagues to ensure that issues under federal, California, and other state and local environmental laws and regulations are analyzed;
* Partnering with transactional law or environmental law colleagues and internal stakeholders to prepare and negotiate real estate and land use-related contractual provisions in various transactional documents;
* Representing the company in real estate and land use matters pending before local, state and federal agencies or governmental bodies, and, as appropriate, preparing internal stakeholders to appear before such bodies;
* Contributing to cross-functional or departmental projects and teams;
* Managing outside counsel to support real estate and land use legal matters; and
* Supervising a paralegal who provides support for real estate activities

Who You Are

Job Qualifications:

* J.D. with California admission.
* 10 years? experience practicing real estate and/or land use law is desirable; experience in a law firm or in-house setting, or a combination, is acceptable, and experience representing local government in land use matters is a plus.
* Excellent knowledge of and experience advising on major California real estate and land use laws and regulations, including CEQA, and siting and permitting requirements.
* Working knowledge of complex environmental issues and/or track record of partnering with environmental experts on EHS-related portions of real property transactions.
* Excellent negotiation and drafting skills; experience as the lead attorney on complex real estate transactions is desirable.
* Experience appearing before various local, state and federal development agencies or special districts managing land use activities is desirable.
* Outstanding communication skills, both verbal and written.
* Superior client relations and influencing skills.
* Able to multi-task and manage multiple high visibility projects simultaneously.
* Self-motivated and independent worker who can also work effectively in a team environment.
* Demonstrated history of resolving challenging legal issues.
* Strategic thinker with the ability to provide legal advice within a business context.
